1. Supply goods
Sellers shall provide goods for the considerations stated in the purchase orders.Goods shall be suitable for the purpose for which they were ordered, be of merchantable quality and conform in all respects to the specifications to the satisfaction of the Purchaser.

2. Delivery
Sellers shall deliver the goods and or services according to the quantities and delivery dates scheduled in the all purchase order. The time of delivery shall be of essence. Sellers shall airfreight/ship/deliver the goods as to the delivery schedule indicated as in the Purchase order as well as being liable for any loss/damage the Purchaser may suffer as a result of non-compliance to the delivery schedule howsoever caused. Purchasers may at their option approve revised delivery schedule or may terminate this order without liability to Seller without prejudice to any claim against the Sellers for any loss/damage arising.

3. Changes/Cancellation
Purchasers reserve the right to cancel this Purchase Order or part thereof at any time if the equipment/ material is not up to specified specifications and /or if it is not delivered within the time specified and/or reason the Purchaser in its absolute discretion deems fit.The Sellers and the Purchasers shall then negotiate for any adjustments necessary

4. Inspection
The purchaser shall be entitled to a reasonable opportunity of inspecting and examining the goods to ascertain whether they conform to the specifications and shall be entitled, if the purchaser so requires to subject the goods to an acceptance or other applicable test (or a series of such test)(“test”) for the purposes of verifying that the goods meet the specifications, any such inspection,examination and testing may be conducted by the purchaser within a period of 30 days from the delivery date.Without prejudice to any other right of purchaser,the purchaser may reject any goods or part thereof which fails to conform to the specification at any time.

5. Goods warranty
In the event that any goods are not suitable for the purpose for which it was supplied, is not of merchantable quality, does not conform to the specification or where such goods fail the test, the supplier shall at the purchaser’s opinion to replace the goods or fully refund the amount paid within 7 days of the purchaser request for the same.The supplier will bear all risks and costs in relation to the replacement of the relevant goods.This warranty shall subsist for a period of at least one month commencing from the delivery date.

6. Applicable Law
The Purchase Order shall be deemed to be made in China and shall be subject to,governed by and interpreted in accordance with the Laws of Republic of China for every purpose.
